TERMS & CONDITIONS OF UTTERLI FREE GROUP TEXTING CONTEST ("Contest") The Contest is carried out by Utterli subject to these terms and conditions ("Terms").
- Utterli may, at any time, amend or delete any of these Terms and/or any of the instructions and explanations without prior notice to you. Any such changes will be binding on you and will take effect immediately upon posting of the revised Terms on this website.
- All new national and international registered users will be entitled to participate in the Contest ("Participant"). No purchase is necessary to enter.
- The Contest shall commence on 21 October 2008 and close at 11:59 p.m. on 30 November 2008 ("Contest Period").
- Each Participant may send an unlimited number of messages through the Utterli Free Group Texting application. The two Participants who have sent the most messages at the end of the Contest Period are considered the Winners.
- There is no limit on the number of entries that may be submitted by each Participant during the Contest Period.
- To the extent permitted, all submitted entries may be displayed in Utterli's "Utterli Free Group Texting" Group located at http://www.utterli.com/FreeGroupTexting.
- Utterli accepts no responsibility whatsoever for lost, incomplete, late or undelivered entries, or for technical errors or any cause/event preventing, disrupting or delaying the successful delivery of messages using the Utterli Free Group Texting application as entries for the Contest.
- All entries shall become the property of Utterli and each Participant shall allow Utterli to use and/or amend the entries in any manner it deems fit, including publishing the content of the text messages on Utterli's websites, press releases and/or any other mass media. Utterli fully reserves its rights to such publications and the right to contact the winners in the future.
- Winners will be announced on 03 December 2008 and notified via email ("Winning Notification") which will include instructions and conditions for collection of prizes.
- Each Winning Participant shall only be entitled to one (1) prize.
- Winners will be notified via network message and/or email. Utterli will request Winners mailing address for shipment of prize.
- Utterli reserves the right to request for proof of eligibility and identity and to verify the same prior to collection of prizes.
- In the event a winner fails to collect a prize within the collection period and/or fails to comply with any other instruction or condition as stated in the Winning Notification, the prize may be forfeited at Utterli's absolute discretion.
- Utterli shall not be responsible for any failure whatsoever of the Participant to receive or retain any email and/or notification in relation to the Contest (including but not limited to the Winning Notification).
- Utterli reserves the right to disqualify an otherwise eligible Participant from winning a prize in the event that Utterli in its absolute discretion has reasonable grounds for believing that the particular Participant may have contravened, will contravene or has contravened any of the Terms and/or may bring Utterli into disrepute.
- Each prize is non-exchangeable, non-transferable, and is not redeemable for cash or other prizes. Utterli reserves the right to substitute any prize with another prize of lower or equivalent value, whether of similar nature or otherwise, without prior notice.
- In the event that any prize incurs any tax liability, such tax is the sole responsibility of the winner.
- Actual prizes may differ from the images shown anywhere during the Contest or in any communications or publications relating thereto. The Customer shall not have any right to make any claims or demands against Utterli in connection with such variances.
- Utterli reserves the right to partially or completely cancel, terminate or suspend the Contest for any reason whatsoever without any liability whatsoever.
- Utterli shall in no way be liable to the Customer for any expenses, loss or damage howsoever arising from this Contest. There is no charge to use the Utterli service; however, telephone networks and/or text message service providers (each a “Service Provider”) may charge for the delivery of such messages. Participant and/or message recipient(s) are entirely responsible for any charges assessed by any Service Provider for sending or delivering messages, and under no circumstance will Utterli be responsible for any such usage charges.
- Each text message must be submitted by the Participant using an Utterli service on the web or a mobile phone. Under no circumstance may a Participant use an automated service or program to generate messages using the service. Use of such a program will result in immediate disqualification of the Participant from the Contest.
- The Contest is open to any participant anywhere in the world; however, award of any prize will be subject to any export limitations applied by governing law of the United States of America. Employees, officers, owners, vendors or affiliates of Utterli or RPM Communications, Inc. as well as their immediate family are not eligible for awards.
- Utterli decision in all matters relating to the Contest is final and binding. No correspondence regarding the Contest, the Terms, any decision made by Utterli in connection therewith, and/or the results will be entertained. Utterli reserves its absolute right to determine an outcome and act as it deems fit in any dispute(s) and/or issue(s) relating thereto. To the extent permitted, the names of winners may be published by Utterli on its web site at http://www.utterli.com, in any promotional materials published by Utterli, or in any announcement by Utterli regarding the contest.
