Program Overview
- Round 1: From Nov. 15, 2009 to Dec. 12, 2009, Facebook users can vote for any Charity that is part of the Chase Community Giving application. The 100 eligible Charities receiving the most votes during this period will be considered the top vote-getters of Round 1.
- Round 2: Each of the 100 Charities that make it to Round 2 will have the opportunity to submit an explanation of how it would use a $1,000,000 donation from Chase. From Jan. 15, 2010 to Jan. 22, 2010, participants may vote for any of the eligible Round 2 Charities through the Chase Community Giving application. The eligible Charity receiving the most votes in Round 2 will be the Program's top vote-getter.

Participating and Voting
NO PURCHASE NECESSARY TO PARTICIPATE OR VOTE. Each participant can vote once per round for an individual Charity but can vote for a total of 20 Charities during Round 1 and a total of 5 Charities during Round 2, per e-mail account and name. Any unused votes from Round 1 will not be available for use in Round 2. In order to vote, participants must access the Chase Community Giving application and follow any subsequent instructions.

Donations
Chase will make a total of $5,000,000 in donations:
- Round 1: Chase will donate $25,000 to each of the 100 Charities receiving the most votes in Round 1, provided all eligibility requirements and standards have been met. Those Charities will be announced on the Chase Community Giving Page, as well as through the Chase Community Giving application on or about 12/16/09.
- Round 2: Chase will donate $1,000,000 to the Round 2 Charity receiving the most votes and will donate $100,000 to the five runners up, provided all eligibility requirements and standards have been met. Those Charities will be announced on the Chase Community Giving Page, as well as through the Chase Community Giving application on or about 02/01/10.
- The Chase Community Giving Advisory Board will select one or more nominated Charities to receive donations with a combined total of $1,000,000. The chosen Charities will be announced on February 8, 2010.

Charity Eligibility
Eligible charities must be 501(c)(3) organizations with an operating budget of under $10 million, and must meet the other listed requirements. A Charity that, by itself or through an affiliated entity, discriminates on the basis of race, color, national origin, religion, sex, sexual orientation, disability, age, veteran status, medical condition, citizenship, ancestry or marital status is not eligible. Official Rules
Chase Community Giving
These rules (the "Official Rules") govern the Chase Community Giving program (the "Program") and set forth the terms and conditions between JPMorgan Chase Bank, N.A. (referred to as "Sponsor" or "Chase") and each nominee ("Charity(ies)") and voter ("Participant(s)"). Participation in this Program constitutes acceptance of these Official Rules.

The Program
The Program consists of two rounds. During the first round ("Round 1"), Participants will have the opportunity to vote for eligible 501(c)(3) Charities. At the end of Round 1, the votes will be tallied and the 100 eligible Charities receiving the most votes will be considered the top vote-getters of Round 1 ("Round 2 Charities"). In the second round ("Round 2"), Participants will have the opportunity to vote for eligible Round 2 Charities. The top six eligible Charities receiving the most votes in Round 2 will be the top vote-getters of Round 2 and the eligible Charity receiving the most votes in Round 2 will be the overall top vote-getter of the Program.

How to Participate
NO PURCHASE NECESSARY TO PARTICIPATE.
Round 1: From 11/15/09 to 11:59:59 p.m. ET on 12/12/09, each Participant may vote for eligible 501(c)(3) Charities available through the Chase Community Giving application on the Facebook Platform or on participating Charities' Profile tabs, should they elect to add the Chase Community Giving application.
Round 2: Each eligible Round 2 Charity will be required to complete and submit a grant application provided by Sponsor, which much include, among other things, an explanation as to how it would use a $1,000,000 donation from the Sponsor. From 01/15/10 to 11:59:59 p.m. ET on 01/22/10, Participants may vote for any of the eligible Round 2 Charities through the Chase Community Giving application or on participating Charities' Profile tabs, should they elect to add the Chase Community Giving application.
Each Participant will be limited to one (1) vote per Charity in each Round with twenty (20) votes per e-mail account and name during Round 1 and five (5) votes per e-mail account and name during Round 2. Any unused votes from Round 1 will not be available for use in Round 2. Sponsor is not responsible for, nor is it required to count, incomplete, late, misdirected, damaged, unlawful or illicit votes, votes achieved through automated means or by registering more than one e-mail account and name, using another Participant's e-mail account and name, as well as those lost for technical reasons or otherwise. Sponsor is not responsible for printing or typographical errors in any Program-related materials. Charities may be reviewed for eligibility and vetted by an advisory board designated by Sponsor (the "Chase Community Giving Advisory Board" or the "Advisory Board"). Decisions of the Advisory Board will be binding and conclusive on all matters. The Program begins on 11/15/09 and ends 11:59:59 p.m. ET on 01/22/10.
By participating in this Program, each Participant and each Charity grant Sponsor and its affiliated companies a worldwide, non-exclusive, perpetual, irrevocable, royalty-free, unconditional, fully paid right and license: (a) to make, have made, use, copy, reproduce, modify, and create derivative works of any material provided by Participant or Charity through the Program ("Submissions"), (b) to publicly perform or display, import, broadcast, transmit, distribute (directly and indirectly through multiple tiers), license, offer to sell and sell, rent, lease, or lend copies of the Submissions (and derivative works thereof), and (c) to sublicense to third parties the foregoing rights, including the right to sublicense to further third parties. Each Participant and Charity consent to the use of his/her name, photographs, videos, voice recordings and likenesses for publicity purposes, as well as any other purpose associated with the Program, without additional compensation or permission. Sponsor reserves the right to remove Submissions as it deems appropriate in its sole discretion.

Donations
Round 1: Sponsor will donate $25,000 to each of the 100 eligible Charities receiving the most votes in Round 1; provided all eligibility requirements and standards have been met. Those Charities will be announced on the Chase Community Giving Page, after an attempt has been made to notify them via private e-mail or other like method, as well as through the Chase Community Giving application on or about 12/16/09.
Round 2: Sponsor will donate $1,000,000 to the eligible Round 2 Charity receiving the most votes during Round 2; provided all eligibility requirements and standards have been met. Sponsor will also donate $100,000 to the five runners up eligible Round 2 Charities receiving the second through sixth most votes during Round 2; provided all eligibility requirements and standards have been met. Those Charities will be announced on the Chase Community Giving Page, after first being notified via private e-mail or other like method, as well as through the Chase Community Giving application on or about 02/01/10.
Advisory Board Selection: Sponsor will also donate combined total of $1,000,000 to the eligible Charity or Charities who have received at least one vote and will be chosen by the Advisory Board. The chosen Charity (or Charities) will be announced on the Chase Community Giving Page, after first being notified via private e-mail or other like method, as well as through the Chase Community Giving application on or about 02/08/10.
In the event of a tie in either round, the Charities will be chosen based on who received the most votes first according to the timestamp within Sponsor's records. Sponsor may award additional donations as it deems appropriate. Each winning Charity may be required to provide proof of 501(c)(3) status as well as complete and return the required grant application and grant letter and, except where prohibited, a Publicity Release. If required, documents must be returned within ten (10) days of receipt or the Charity may be disqualified and an alternate Charity selected. The Executive Director of each Charity must be available to speak with Sponsor within five (5) days of Sponsor's request. No transfer or assignment of the donation is permitted. Charities should receive all, or a portion (as described below), of their donations 6-8 weeks after Sponsor determines that eligibility requirements and standards have been met. Sponsor may distribute donations in increments, subject to receipt of consulting services, or pursuant to an implementation plan mutually agreed upon between Sponsor and the winning Charity. In the event a winning Charity is disqualified, the donation will be awarded to the eligible Charity receiving the next highest amount of votes during the applicable round; provided they meet all the requirements herein. Federal, State and Local taxes and fees, if any, are the winning Charity's sole responsibility.

Eligibility
In order to vote, Participants must allow access to the Chase Community Giving application on the Facebook Platform and follow any subsequent instructions. Charities must be available for selection through the Chase Community Giving application and be 501(c)(3) organizations and not be subject to any U.S. sanctions. A Charity that, by itself or through an affiliated entity, discriminates on the basis of race, color, national origin, religion, sex, sexual orientation, disability, age, veteran status, medical condition, citizenship, ancestry or marital status is not eligible. Other Charities that are ineligible include, but are not limited to, those with annual operating expenses of more than $10,000,000 based on most recent IRS filings or otherwise substantiated through audited financial statements, organizations designated by the IRS as private foundations, organizations not listed in IRS Publication 78, or organizations otherwise not in alignment with Sponsor's corporate social responsibility guidelines. Additional reasons a Charity may be deemed ineligible include, but are not limited to, the Charity and/or its management being subject to any investigation for fraud, financial misconduct or other criminal activity. Any organization determined to be ineligible at any time will be disqualified. Sponsor retains the right at its sole discretion to determine eligibility and reserves the right to disqualify any Charity for any reason whatsoever. All applicable jurisdictional laws and regulations apply. Void where prohibited or otherwise restricted by law.

Release of Liability
Sponsor, in its sole discretion, reserves the right to suspend, cancel or modify the Program without notice or liability if the integrity of the Program is compromised in any manner as determined by Sponsor, or if the Program is not capable of being conducted as intended by the Sponsor. Sponsor assumes no responsibility for any loss or damage to Participant's, Charity's, or to any other person's computer relating to, or resulting from, entering or downloading any information or software in connection with this Program. Sponsor and its agents are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the Participant or Charity, or by any of the equipment or programming associated with or utilized in this Program, or by any human or other errors that may occur in connection with this Program.
Participant and Charity release Sponsor, and its parent, affiliates, subsidiaries, officers, directors, agents, employees, Facebook, Inc., and all others associated with the development and execution of this Program, from any and all liability with respect to, or in any way arising from, this Program, including any suspension, modification or cancellation of the Program, and/or acceptance or use of the donation, including liability for personal injury, death, damages or loss. Sponsor is not responsible for donation quality or utility.
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL SPONSOR BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIMS.

Warranties and Disclaimers
Participant and Charity represent and warrant that anything submitted through the Program does not: (a) infringe on the intellectual property rights of a third party; (b) contain confidential information that violates any obligation of confidentiality; (c) contain any viruses, spyware, malware, or other malicious components that are designed to harm the functionality of a computer in any way; and (d) contain information that is unlawful, inappropriate, slanderous, libelous, defamatory, disparaging discriminatory, indecent, obscene, hateful or tortuous.
THE PROGRAM MAY CONTAIN TECHNICAL AND OTHER ERRORS AND LIMITATIONS AND IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. SPONSOR DISCLAIMS ALL REPRESENTATIONS, WARRANTIES AND CONDITIONS OF ANY KIND (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS) AS IT RELATES TO THIS PROGRAM. THE ENTIRE RISK AS IT RELATES TO THE PROGRAM IS ASSUMED BY PARTICIPANT AND CHARITY.
Title and ownership to Sponsor's marks, including, but not limited to, trademarks, domain names, logos as well as any other branding element of Sponsor shall remain with Sponsor. Except as otherwise provided in these Official Rules, no right or license is granted to any third party as it relates to any copyright, patent, or trademark of Sponsor.

Disputes
Except where prohibited, Participant and Charity agree that: (a) any and all disputes, claims and causes of action arising out of or connected with the Program or any donation awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York, New York, U.S.A; (b) all issues and questions concerning these Official Rules and the Program shall be governed by and construed in accordance with the laws of New York, U.S.A., without giving effect to any choice of law or conflict of law rules.
